Short Agreement – Assay & Smelting Office

Transaction Responsibility Agreement

This Agreement is made between the undersigned Buyer and Seller (hereafter referred to as the "Transaction Parties").

Article 1 – Scope of Services

  1. The role of Victor Assay & Smelting Office is limited strictly to conducting the assay and/or smelting process and issuing a Certificate of Results.
  2. The Office is not a party to the financial transaction, price negotiation, transport, storage, or delivery of gold.
  3. All financial obligations and risks are borne exclusively by the Transaction Parties (Buyer and Seller).
  4. The Assay & Smelting Certificate issued by the Office shall be considered final and binding evidence of purity and weight.
  5. The Office, its staff, or its representatives bear no liability for disputes, losses, or claims arising between the Transaction Parties.

Article 2 – Liability Exclusion

  1. The Buyer and Seller acknowledge that all financial obligations, delivery, and acceptance of gold are conducted strictly between them.
  2. The licensed Assay & Smelting Office (Victor) serves only as an independent authority for testing and certification.
  3. The Assay & Smelting Office bears no responsibility for payment, delivery, loss, or dispute arising between Buyer and Seller.
  4. The Certificate issued by the Office is final and binding regarding purity and weight, but does not extend to commercial obligations.

Article 3 – Confidentiality & Discretion

  1. The Buyer and Seller agree that all transactions remain confidential and shall not be attributed as liability to the Office or its representatives.

Article 4 – Governing Law

  1. Any dispute arising shall be resolved directly between Buyer and Seller under applicable law.
